Chinese Suppliers Refusing to Issue Invoices
Resolve missing supplier invoices by identifying the required document, the actual seller and the reason given for delaying or refusing issuance.
Start with the Chinese legal name or USCC. Confirm the matching company before opening its profile.

AI-generated cover illustration; not an actual invoice or transaction.
The goods have arrived, but the invoice has not. The seller says the price did not include a fapiao, the business is too small to issue one, or another company can provide it instead. These replies raise different questions. Start by identifying the document you need and the company responsible for the actual sale.
A missing Chinese tax invoice is not the same problem as a missing export commercial invoice. An invoice that has been issued but not delivered is different again. Clear up those distinctions before repeating the request or accusing the supplier of refusing a legal obligation.
The situations below are hypothetical examples for overseas buyers dealing with mainland Chinese businesses. They show how to make a useful request and assess the answer. They are not reports about actual suppliers.
Name the missing document
Imagine a buyer who has paid for a small shipment and received a packing list. The freight forwarder asks for a commercial invoice, while the buyer's finance team uses the word fapiao. The supplier replies that it does not issue the requested document to overseas customers. Before treating this as one refusal, find out which document each person means.
A commercial invoice describes the international sale and supports customs processing. A fapiao is a document under China's tax-invoice system. A pro forma invoice is normally a quotation in invoice form. The International Trade Administration's commercial-invoice guidance explains the customs purpose and the need to check destination requirements.
Ask finance or the customs broker to identify the required document, purchaser and purpose. Then send that specific request to the seller. A Chinese fapiao does not automatically replace the commercial invoice needed for a shipment, and a packing list does not establish all the sale and price information a commercial invoice supplies.
For a purchase made through a sourcing agent, map the actual sale. The factory may sell domestically to the agent, while the agent sells onward to you. The factory's tax invoice to its customer and the agent's commercial invoice to you concern different transactions. Do not demand that both documents name the same buyer simply to make your folder look consistent.
Use the fapiao and commercial invoice comparison if the document category remains unclear. The next request should name the missing document, not merely repeat “send an invoice” in stronger language.

Issued, pending or refused
A supplier says the invoice is unavailable. That could mean the application has not been submitted, the purchaser details are incomplete, the file has not been emailed, or the business is declining to issue it. Ask for the current stage and the specific missing action.
If the invoice already exists, request its original downloadable file and the relevant reference. Check the account or order email used for delivery. A file sent to an employee who placed the order may never have reached finance. This is a delivery problem until the facts show otherwise.
If it is pending, ask what the issuer needs and when it expects to provide the document. Record the answer without inventing a universal deadline. The tax authority's April 2026 guidance on compliant invoicing addresses truthful business information and prescribed issuance timing. It does not make every seller's promised processing time a legal rule.
Where a website requires purchaser information that does not fit an overseas company, ask the seller how it records foreign customers. A form obstacle is not permission to use another company's Chinese identifier. Keep the intended purchaser unchanged and ask the issuer to resolve its process.
For order [reference], we need [document type] for [purchaser and purpose]. Please confirm whether it has been issued, is awaiting information, or will not be issued. If it is pending, please identify the missing information and the expected delivery date.
This wording usually produces a more useful answer than asking whether the supplier “can do invoices.” It also leaves a clear record if the response later changes.
A discount does not explain everything
In a second hypothetical purchase, a mainland seller provides goods at a discounted price and says that discounted orders receive only a receipt. The buyer should separate the agreed price from the document obligation.
The Shanghai tax authority's July 2026 questions and answers expressly state that discounts and coupons do not remove a merchant's obligation to issue an invoice in the consumer situations discussed. The same guidance explains that a receipt, order number or till slip cannot simply replace an invoice where an invoice is required.
That is useful when assessing a seller's explanation, but it should not be stretched into a conclusion about every cross-border transaction. Establish the sale, seller and required document first. The Invoice Administrative Measures provide the broader rules for issuing invoices in business activities and prohibit replacing invoices with other vouchers contrary to those rules.
If the seller now asks for more money, request the original quoted basis and a written explanation of the proposed amount. A genuine misunderstanding about a tax-exclusive quote needs a different discussion from a seller refusing a document that should accompany the transaction. Do not silently change the agreed price or assume that buying without paperwork makes the sale tax-free.
Keep the quotation, accepted order and relevant messages together. The practical question is what was agreed and what the applicable transaction requires. An unexplained “invoice fee” is not an answer merely because the seller labels it tax.
Small-scale is not a complete answer
Some sellers explain that they are small-scale taxpayers and therefore cannot provide any fapiao. The category alone does not resolve that claim. Small-scale and general taxpayer are VAT classifications, not descriptions of whether a business has ever been registered.
The tax authority's 2026 VAT administration announcement even allows small-scale taxpayers, under specified conditions, to forgo relevant relief and issue special VAT invoices. It is therefore important to clarify whether the seller means it cannot provide your requested category, has a specific issuance problem, or refuses to provide any tax invoice.
An ordinary invoice may answer a purchaser's need even when a special invoice is unnecessary or inappropriate. Confirm that need with finance before demanding a particular category. The special and ordinary invoice guide explains the distinction without treating one as a superior authenticity certificate.
If the seller says an account restriction or another tax-office issue prevents issuance, request a concrete explanation and proposed resolution. An overseas buyer does not need access to the supplier's tax account. Nor should an unverified explanation become a claim that the company has committed tax fraud.
Another company's invoice
A third hypothetical supplier offers an invoice from a friend's company. The company has the right industry description, and the invoice will carry the correct amount. That does not make it a document for the sale that actually occurred.
Ask why the proposed issuer participates in your purchase. A disclosed agent, platform seller or trading company may have a genuine role that needs to be understood. A company introduced only to supply paperwork is a different situation. The explanation should connect the parties to the real transaction, not simply promise a document that passes an online lookup.
The April 2026 tax guidance links invoicing to actual business, the parties and the corresponding contract, goods or services, and payment. The Invoice Administrative Measures prohibit invoices that do not reflect real business operations. They also distinguish lawful tax-authority or authorised proxy issuance from unauthorised invoicing on someone else's behalf.
Do not accept an unrelated invoice merely to close an internal expense request. Likewise, do not ask the seller to change item names, values or the purchaser to suit an unrelated transaction. Preserve the original order and request a lawful document that reflects it.

A focused follow-up
Bring the discussion back to one order and one unresolved point. Include the reference, purchase date, seller as shown, purchaser details already supplied and the document requested. Attach only the material needed to identify that transaction.
We have received the goods for order [reference], but [required document] remains outstanding. Your reply states [specific reason]. Please confirm the invoicing company, explain how that reason applies to this transaction, and provide the document or a clear resolution date. Please do not substitute an invoice for another company or another purchase.
If a platform handled the sale, use the support route attached to the actual order. The platform operator, shop brand and legal seller may be different. Keep the merchant's reply and the order details so support can identify which business needs to respond.
If the purchase was direct, contact the seller's established finance or customer-service channel. Confirm that a new contact belongs to the same business before sending additional documents. Avoid sharing unrelated invoices, personal identity documents or bank records simply because a new correspondent requests a complete file.
For an unresolved refusal concerning a Chinese tax invoice, the Shanghai guidance identifies the tax authorities and the 12366 service as formal channels. Overseas readers should use the relevant authority's published contact options; a domestic short number may not work from abroad. State the facts and the missing document rather than making an unsupported allegation.
Close the request with the right evidence
When the file arrives, compare its purchaser, seller, described purchase and amount with the order. Retain the original electronic attachment. A corrected name in an email does not change the invoice itself, and a supplier's screenshot labelled verified does not replace your comparison.
Use ChinaValidate Invoice Verification for a supported mainland VAT invoice. Use the issuer's Chinese name or USCC in Company Search when its identity needs checking. The two checks have different purposes: the invoice result concerns a document, while the company result concerns the registered business.
If the seller still cannot provide the required document, keep the precise issue open for the person responsible for the purchase or accounting decision. An ordinary delay, the wrong document request and an unresolved refusal should not all become the same entry in your supplier record. A clear explanation of what is missing makes the next decision possible.
Before the next order, agree the document type, purchaser details, issuing company and delivery route in the purchasing correspondence. For a platform order, check its invoice arrangements before checkout. For a direct purchase, carry the agreement into the accepted order instead of leaving it in an unconnected chat.
This does not replace the seller's legal obligations or guarantee that every later request will be resolved. It gives both sides a specific arrangement to refer to. If the supplier changes that arrangement, the difference becomes visible before another purchase creates the same missing-document problem.
